These Terms of Service ("Terms") govern your access to and use of the UnifiedMemory.ai website (the "Website") and the UnifiedMemory.ai SaaS product (the "Service"), operated by UnifiedMemory.ai, a trading name of Episodic Capital Limited, a UK Limited Company registered in England and Wales with company number 16845210 and registered office at 4 St. Leonard’s Place, Exeter, EX2 4LZ, United Kingdom ("we," "us," or "our").

By accessing or using the Website or Service, you agree to be bound by these Terms. If you do not agree, do not access or use the Website or Service.

1. Eligibility and Accounts

You must be at least 18 years old. Accounts are created via Clerk (authentication) and Stripe (billing). You are responsible for all activity under your account. Team/enterprise plans allow additional seats for extra fees.

2. Service Description

The Service stores synopses of AI agent tasks for improved Retrieval-Augmented Generation (RAG) augmentation, primarily (but not exclusively) for developers and researchers.

3. Subscriptions and Billing

  • Monthly and annual plans; add-ons billed on the same cycle.
  • Pricing is displayed on the Website and may be changed at our sole discretion.
  • We may increase prices annually in line with UK RPI each January, or at any other time.
  • Free trials (when offered) require a credit card and auto-convert to paid unless cancelled.
  • 14-day money-back guarantee on first payment; thereafter cancellation takes effect at the end of the current term only (no pro-rata refunds).
  • Subscriptions auto-renew.
  • We may withdraw, restrict, or modify any plan, feature, or the entire Service at any time without liability.

4. User Obligations and Prohibited Uses

You must comply with all applicable laws and must not:

  • Upload PII, spam, viruses, or illegal content
  • Reverse engineer or scrape the Service
  • Use bots or excessive automated access
  • Interfere with the Service or other users

5. Data and Third-Party AI Providers

5.1 You retain ownership of data you upload ("User Data").
5.2 You grant us a worldwide licence to process it to deliver the Service.
5.3 We store UK-resident data in the UK; enterprise plans may allow custom locations under separate terms.
5.4 Third-Party AI Model Providers
When you use embeddings, vector generation, or any AI-powered features, your submitted data (task synopses, prompts, context, etc.) is sent unencrypted to third-party providers including but not limited to OpenAI, xAI (Grok), Google Gemini, Anthropic, Mistral, Cohere, and private/self-hosted models. These providers will see the plain-text content. You are solely responsible for ensuring no personal, confidential, or restricted data is sent.

6. Termination and Suspension

We may suspend or terminate your account immediately for breach, illegal use, non-payment, abuse, or at our sole discretion (including at renewal). Upon termination your data may be deleted after 30 days.

7. Disclaimers and Limitation of Liability

The Service is provided "AS IS" with no warranties. To the fullest extent permitted by law, our total liability is limited to the fees you paid in the current subscription term (1 month or 1 year).

8. Governing Law

These Terms are governed by the laws of England and Wales. Exclusive jurisdiction: courts of England.

9. Changes

We may amend these Terms at any time. Continued use constitutes acceptance.
